About the Book

With the SEC's first major revisions to its executive compensation disclosure rules since 1992, public companies can expect dramatic changes to the form and content of the required disclosure regarding their executive pay practices and decisions. Executive compensation expert Mark Borges outlines the implications of the rules and how they affect annual reports, Form 8-K, registration statements, the summary compensation table, and compensation discussion and analysis.

Compliance for many companies will be a two-year process (not unlike compliance under Sarbanes-Oxley). This is the first book to provide practical guidance on how to comply with the new rules. The book includes a discussion of disclosure requirements, explanations of each disclosure rule, and examples of model disclosure that satisfies the new rules.
